1. Introduction and Acceptance of Terms
Welcome to Report Alchemy. These Terms and Conditions ("Terms") govern your access to and use of the Report Alchemy website, application, and services (collectively, the "Service"). The Service is operated by Sagwa Limited, trading as Report Alchemy. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.
2. Definitions
"User" refers to any individual or entity that accesses or uses the Service.
"Content" refers to any text, data, information, or material generated, provided, or submitted through the Service.
"Report" refers to the AI-generated document produced by the Service based on user input.
"Free tier" means an account that includes a fixed allowance of finished reports at no charge. "Teacher licence" means the paid annual plan giving unlimited reports for one teacher.
3. User Registration and Account Security
3.1. To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3.2. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party.
3.3. You agree to notify us immediately upon becoming aware of any breach of security or unauthorised use of your account.
3.4. We reserve the right to refuse registration of, or cancel, accounts that we deem inappropriate.
4. Service Description
4.1. Report Alchemy is an AI-powered report generation service that creates customised reports based on user input and predefined formats.
4.2. The Service uses artificial intelligence and machine learning technologies to generate content. Users acknowledge that the generated content may not always be perfect or suitable for all purposes without human review and editing.
4.3. A free account includes an allowance of 30 finished reports, which does not expire. A Teacher licence removes that limit for 12 months, subject to the fair-use provision in clause 8.5.
4.4. We reserve the right to modify, suspend, or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.
5. User Responsibilities and Conduct
5.1. You agree to use the Service only for lawful purposes and in accordance with these Terms.
5.2. You are responsible for all Content you submit to the Service and for the use of the reports generated by the Service.
5.3. You agree not to use the Service:
- a) In any way that violates any applicable national or international law or regulation.
- b) To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
- c) To impersonate or attempt to impersonate Sagwa Limited, trading as Report Alchemy, a Report Alchemy employee, another user, or any other person or entity.
- d) To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm Sagwa Limited, trading as Report Alchemy, or users of the Service or expose them to liability.
5.4. You acknowledge that the reports generated by the Service are intended to be a starting point and should be reviewed and edited as necessary before use in any official or professional capacity.
5.5. You are responsible for maintaining the confidentiality of any sensitive information input into the Service or contained in the generated reports.
5.6. You agree not to input any private or personally identifiable information (PII) into the Service. This includes, but is not limited to, full names, addresses, phone numbers, email addresses, social security numbers, passport numbers, or any other information that could be used to identify an individual. The Service is designed to generate general reports and should not be used to process or store sensitive personal data.
6. Intellectual Property Rights
6.1. The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Sagwa Limited, trading as Report Alchemy, and its licensors.
6.2. The Service is protected by copyright, trademark, and other laws of both the country in which you reside and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
6.3. You retain any and all of your rights to any Content you submit, post, or display on or through the Service, and you are responsible for protecting those rights. You agree that this license includes the right for us to make your Content available to other users of the Service, who may also use your Content subject to these Terms.
6.4. You acknowledge and agree that the AI-generated reports produced by the Service are the product of automated processing based on your inputs. While you own the specific Content you provide, Sagwa Limited, trading as Report Alchemy, retains ownership of the AI models, algorithms, and systems used to generate the reports.
7. Payment Terms
7.1. The Service is offered on a free tier and on a paid Teacher licence. The free tier includes 30 finished reports and requires no payment details.
7.2. A Teacher licence costs £24 including VAT where applicable, covers one teacher, and runs for 12 months from the date of purchase.
7.3. All payments are processed by our payment provider, Stripe. We do not receive or store your full card details.
7.4. We may change our prices. Any change will be communicated in advance and will not affect a licence period you have already paid for.
7.5. You authorise Sagwa Limited, trading as Report Alchemy, to charge your chosen payment method for the amounts you agree to at checkout.
7.6. School and multi-academy trust licences are quoted separately and may be invoiced rather than paid by card. Their terms are set out in the licence agreement provided with the quote, which takes precedence over this clause where the two differ.
8. The Teacher licence and automatic renewal
8.1. A Teacher licence renews automatically each year unless cancelled, and you authorise us to charge your payment method on file for the then-current fee.
8.2. We will email you a reminder before each renewal, stating the amount, the date it will be taken and how to cancel, so a renewal is never a surprise.
8.3. You may cancel at any time from Profile → Account & Settings, or by emailing admin@report-alchemy.com.
8.4. Cancelling stops the next renewal; it does not end your current licence. You keep access for the full period you have paid for, after which your account returns to the free tier. Reports and formats you have created remain available to you.
8.5. Fair use. A Teacher licence covers one teacher writing reports for their own classes, up to 1,500 reports in a rolling 12 months. This exists only to prevent a single login being shared across a department or school; if you approach it we will contact you about a school licence rather than cut off your access.
8.6. If automatic billing fails we will let you know and give you a reasonable opportunity to pay before access changes.
9. Cancellation and refunds
9.1. As the Service is sold at a distance, consumers have a statutory right to cancel within 14 days of purchase under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Nothing in these Terms removes or limits that right.
9.2. To exercise it, email admin@report-alchemy.com within 14 days of payment. We will refund you in full to the original payment method.
9.3. Outside the 14-day period we do not refund part-used licence years, because access continues for the whole period paid for. Our full Refund Policy sets out the detail, including billing errors and extended service unavailability.
9.4. Nothing in these Terms affects your statutory rights as a consumer under the Consumer Rights Act 2015.
10. Privacy and Data Protection
10.1. Your use of the Service is subject to Report Alchemy's Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy, which explains how we collect, use, and disclose information that pertains to your privacy.
10.2. By using the Service, you agree that we can use such data in accordance with our Privacy Policy.
10.3. You are responsible for ensuring that your use of the Service, including the content you input and the reports you generate, complies with all applicable data protection and privacy laws.
10.4. We will take reasonable measures to protect the information you provide through the Service. However, you acknowledge that no method of transmission over the Internet or method of electronic storage is 100% secure, and we cannot guarantee its absolute security.
11. Use of AI-Generated Content
11.1. You acknowledge that the reports generated by Report Alchemy are created using artificial intelligence and machine learning technologies.
11.2. While we strive to provide high-quality, accurate content, you understand and agree that AI-generated content may contain errors, inconsistencies, or inappropriate content.
11.3. You agree to review and verify the accuracy and appropriateness of any AI-generated content before using it in any official or professional context.
11.4. Report Alchemy is not responsible for any consequences resulting from the use of unverified AI-generated content.
11.5. We reserve the right to refuse to generate content that we deem inappropriate or in violation of these Terms.
12. Limitation of Liability
12.1. To the maximum extent permitted by applicable law, in no event shall Sagwa Limited, trading as Report Alchemy, its affiliates, agents, directors, employees, suppliers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Service; (ii) any unauthorised access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Service; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Service by any third party; and/or (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service.
12.2. In no event shall Sagwa Limited, trading as Report Alchemy, be liable for any amounts exceeding the total amount paid by you for the Service in the twelve (12) months preceding the event giving rise to the claim.
13. Disclaimer of Warranties
13.1. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Sagwa Limited, trading as Report Alchemy, makes no representations or warranties of any kind, express or implied, as to the operation of the Service or the information, content, or materials included therein.
13.2. Without limiting the foregoing, Sagwa Limited, trading as Report Alchemy, does not warrant that:
- a) The Service will function uninterrupted, secure, or available at any particular time or location;
- b) Any errors or defects will be corrected;
- c) The Service is free of viruses or other harmful components; or
- d) The results of using the Service will meet your requirements.
13.3. You acknowledge that Sagwa Limited, trading as Report Alchemy, does not control third-party content available on or through the Service and does not guarantee the accuracy, integrity, or quality of such third-party content.
14. Indemnification
14.1. You agree to defend, indemnify, and hold harmless Sagwa Limited, trading as Report Alchemy, and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:
- a) Your use and access of the Service, by you or any person using your account and password;
- b) A breach of these Terms; or
- c) Content generated or submitted through the Service.
15. Modifications to the Service and Terms
15.1. Sagwa Limited, trading as Report Alchemy, reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
15.2. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
15.3. We reserve the right to update, change, or replace any part of the Service by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.
16. Termination of Service
16.1. We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms.
16.2. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.
16.3. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
16.4. Upon termination, your right to use the Service will immediately cease. If you wish to retrieve any data associated with your account, you must make such a request prior to termination.
17. Governing Law and Dispute Resolution
17.1. These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
17.2. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
17.3. In the event of any dispute arising out of or relating to these Terms, including any question regarding its existence, validity, or termination, the parties shall first seek settlement of that dispute by mediation in accordance with the rules of the Centre for Effective Dispute Resolution (CEDR).
17.4. If the dispute is not settled by mediation within 30 days of the commencement of the mediation, or such further period as the parties shall agree in writing, the dispute shall be referred to and finally resolved by arbitration under the rules of the London Court of International Arbitration (LCIA), which rules are deemed to be incorporated by reference into this clause.

19. Severability and Waiver
19.1. If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
19.2. Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter, nor shall the waiver of a breach constitute a waiver of any subsequent breach.
19.3. No failure to exercise, or delay in exercising, any right, remedy, power, or privilege arising from these Terms operates, or may be construed, as a waiver thereof. No single or partial exercise of any right, remedy, power, or privilege hereunder precludes any other or further exercise thereof or the exercise of any other right, remedy, power, or privilege.
